MEMBERSHIP AGREEMENT

(Hereinafter referred to as the “Member”)
AND
FitCity Gym and Wellness Inc., a registered business in the Philippines.
1. MEMBERSHIP ELIGIBILITY AND APPLICATION
All applicants must provide accurate information. FitCity reserves the right to approve, deny, or revoke membership at its sole discretion.
2. ACCESS AND USAGE
Access is allowed only during operating hours via QR, biometric, or approved entry system. Membership is non-transferable.
3. HYGIENE POLICY (STRICTLY ENFORCED)
Members must:
• Use a towel when using equipment
• Wipe down all equipment after use
• Wear proper gym attire (clean shoes only; no slippers or casual footwear)
• Maintain proper hygiene and avoid strong odors
• Refrain from entering when sick or contagious
? VIOLATION OF THESE RULES
May result in immediate suspension or termination without refund.
4. HEALTH AND SAFETY
The Member:
• Confirms they are medically fit or assume full responsibility
• Agrees to disclose all medical conditions
Failure to disclose any condition releases FitCity from all liability.
Participation involves risks including injury or death, which the Member fully accepts.
5. LOCKERS AND PERSONAL BELONGINGS
FitCity is not responsible for lost or stolen items.
7. SUSPENSION, FREEZE, AND TERMINATION
FitCity may suspend or terminate memberships for violations or non-payment.
MEMBERSHIP FREEZING POLICY
Minimum Freeze Duration
Minimum of one (1) month
Freeze Fee
₱400 per month
Effectivity
Starts on the 1st of the month and auto-reactivates
Submission Requirement
Must be submitted at least seven (7) days prior
Eligibility
Not allowed for unpaid or expired memberships
Supporting Documents
May be required
Approval
All freeze requests are subject to management approval. Submission does not guarantee approval.
Effect of Freeze
Freeze periods do not count toward membership term.
8. DATA PRIVACY
Member consents to collection and processing of personal data under the Data Privacy Act of 2012.
9. GENERAL TERMS
FitCity reserves the right to modify terms. Continued use constitutes agreement.
No verbal agreements are binding.
10. LEGAL FRAMEWORK
A. MEMBER ACKNOWLEDGMENT AND ACCEPTANCE
The Member acknowledges that they have read, understood, and agreed to all terms.
Execution of this Agreement, whether physical or electronic, constitutes full legal acceptance.
B. MINORS AND PARENTAL CONSENT
For Members below 18:
The parent/guardian:
• Authorizes participation
• Accepts full responsibility
• Assumes all risks
Ages 14–15 must be accompanied.
C. MEMBERSHIP COMMITMENT AND CONTINUITY
The Member agrees to the selected plan and minimum commitment.
Membership may automatically continue unless formally terminated.
D. PAYMENT OBLIGATION
Failure to pay results in:
• Immediate suspension
• Applicable penalties
Payment is required regardless of usage.
E. USE OF FACILITIES
FitCity may modify or discontinue services without liability.
F. FREEZE AND MEMBERSHIP ADJUSTMENTS
All freezes require:
• Written request
• Policy compliance
• Management approval
G. CANCELLATION (IF APPLICABLE)
Cancellation may be approved for valid reasons, including medical conditions, permanent relocation, or other exceptional circumstances, subject to the Club's approval.
Early cancellation does not release the Member from payment obligations. The Member remains liable for all outstanding fees for the remainder of the membership term and authorizes FitCity Gym and Wellness Inc. to debit the enrolled payment method for any unpaid balance, as permitted by law.
Membership fees are non-refundable, and memberships are non-transferable unless approved in writing by the Club.
H. NON-RELIANCE ON VERBAL AGREEMENTS
Only written agreements are valid.
I. BILLING AUTHORIZATION AND AUTO-RENEWAL
The Member authorizes FitCity to charge all dues using provided payment methods.

Charges occur automatically per billing cycle
- Continuous Membership
Auto-renews unless cancelled
- Ongoing Obligation
Member is liable until cancellation is confirmed
- Failed Payments
May result in suspension, penalties, and reattempted charges
- Acknowledgment
Signature authorizes all charges
11. ELECTRONIC CONSENT AND SIGNATURE
By signing electronically, the Member confirms full understanding and acceptance of all terms.
This electronic signature is legally binding and equivalent to a handwritten signature.
